Carscenez Terms & Conditions of Service

Effective: February 23, 2026

Applies to: All engagements for which Carscenez provides video production, photography, or related production services, including private client package shoots and custom business/agency projects.

By booking with Carscenez and submitting payment, you acknowledge that you have read, understand, and agree to the terms below. In the event that a separately executed written agreement (such as a Production Services Agreement) exists between Carscenez and the Client for a specific engagement, the terms of that agreement shall govern to the extent of any conflict with these general Terms & Conditions.

3.1 Standard Projects (under $10,000)

An invoice for the remaining balance (or the full balance if no deposit was collected) will be issued upon delivery of the Initial Preview. The Client may also elect to pay the balance on-site at the time of the shoot by card, ACH, cash, or check; on-site payment satisfies the Client's payment obligations.

If the Client has not paid in full at the time the Initial Preview is delivered, the outstanding balance shall be due within five (5) calendar days of the Initial Preview delivery date.

Full-resolution, unwatermarked final Deliverables will be released only after full payment has been received. The Client will receive watermarked Initial Previews for review regardless of payment status.

3.2 Large-Scale Projects ($10,000 and above)

Payment schedules for large-scale projects will be agreed upon in writing prior to the commencement of work. Carscenez and the Client will establish specific milestones, installment amounts, and due dates. No large-scale project booking shall be considered confirmed, nor any work commenced, until payment terms are agreed in writing.

Final Deliverables for large-scale projects will be released only after full payment of all agreed installments has been received.

3.3 Payment Methods

Payment may be made via wire transfer, ACH, check, card, cash, or other method mutually agreed upon by the parties. Carscenez will provide payment instructions on each invoice.

3.4 Precedence of Written Agreements

Any alternative payment schedules or terms agreed to in a signed Production Services Agreement or other written instrument between Carscenez and the Client shall take precedence over the standard terms set forth in this section.


4. Cancellation & Postponement

4.1 Client-Initiated Cancellation

If the Client cancels a booked engagement, the following shall apply based on the notice provided:

4.2 No-Show

If the Client or the Client's vehicle fails to appear at the scheduled Shoot Date without prior notice, 100% of the total agreed engagement fee is charged and the deposit is forfeited. Repeat no-shows may require full prepayment for future bookings.

4.3 Client-Initiated Postponement

The Client may postpone a Shoot Date by providing at least thirty (30) days' written notice. Carscenez shall use commercially reasonable efforts to accommodate the new date, subject to crew availability. If the postponement results in additional third-party costs (rebooking fees, non-refundable reservations, etc.), such costs shall be the Client's responsibility. Any recoverable credits shall be applied toward the rescheduled date where possible.

4.4 Agency-Initiated Cancellation

If Carscenez must cancel due to crew emergency, equipment failure, or unavailability, Carscenez shall provide as much advance notice as reasonably possible and shall offer either (a) a substitute crew of comparable skill, or (b) a full refund of all amounts paid for the affected engagement. Carscenez shall not be responsible for the Client's consequential damages resulting from cancellation.

4.5 Cancellation Fee Basis

"Total agreed engagement fee" means the full amount agreed in the Client's quote, invoice, or contract for the booked services, not the deposit alone. Cancellation fees compensate for crew time, equipment hold, and lost scheduling opportunities.

5. Weather, Safety & Force Majeure

5.1 Agency-Caused Postponement

If conditions on the Agency's side (crew illness, equipment failure, unsafe conditions identified by the Agency) prevent the shoot from proceeding, Carscenez will reschedule at no additional charge. If rescheduling is not feasible, the deposit will be refunded in full.

5.2 Weather or Safety Hold

If weather conditions (rain, high winds, or other hazardous conditions) make shooting unsafe, Carscenez will postpone and reschedule at no charge. If the Client insists on proceeding in unsafe conditions, the Client must sign a written waiver, and any resulting additional safety fees or production charges will be billed to the Client.

5.3 Client-Caused Weather Issues

If the Client misrepresents indoor/outdoor availability or refuses to reschedule when conditions make a safe shoot impractical, the cancellation terms in Section 4 shall apply.

5.4 Force Majeure

Neither party shall be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond the reasonable control of the affected party, including but not limited to: natural disasters, acts of God, pandemics, government orders, civil unrest, severe weather events, venue closures, airline cancellations, or other events beyond the parties' control. The affected party shall provide prompt written notice of the event and shall use commercially reasonable efforts to mitigate its effects and resume performance as soon as practicable. In such events, Carscenez will make reasonable efforts to reschedule services. Deposits may be applied to rescheduled dates or refunded where rescheduling is not feasible.


6. Late Arrival & Idle Time

7. Travel, Permits & Expenses

7.1 Travel

If an engagement requires travel (whether driven or by air), travel costs will be quoted as a line item on the engagement invoice and are subject to the same payment schedule as production fees. Travel costs may include mileage, airfare, checked baggage fees, hotel accommodations, rental car, and related expenses as applicable. Specific travel arrangements and costs will be documented in the Client's quote or contract.

7.2 Travel Refund Policy

Travel expenses are subject to the refund policies of the applicable providers. Air travel costs are generally non-refundable once purchased. Hotel and rental car reservations may be partially or fully refundable depending on booking terms and cancellation windows. In the event of cancellation or postponement, Carscenez shall use best efforts to obtain available refunds or credits and shall promptly remit any recovered amounts to the Client. Carscenez does not guarantee that travel costs will be refundable, and the Client accepts the risk that some or all travel expenses may be non-recoverable.

7.3 Permits, Location Fees & Other Costs

Any required permits, city fees, road closure costs, location fees, or towing/parking fines are the Client's responsibility. Carscenez can assist with permit procurement; permit fees and administrative time will be invoiced to the Client. All parking and tolls encountered during the shoot are billed to the Client. For multi-day shoots requiring an overnight stay, the Client must cover lodging for the crew at cost.


8. Deliverables & Turnaround

8.1 Deliverable Specifications

Finished edited video and/or photographs will be delivered as specified in the Client's package or quote. All video Deliverables shall be provided at a minimum resolution of 1080p. Photographs shall be delivered as high-resolution JPEG or PNG files.

8.2 Delivery Method

All Deliverables shall be provided via Dropbox shared link.

8.3 Turnaround Times

Standard turnaround times from the Shoot Date to Initial Preview delivery are as follows:

These timelines represent the deadline for the Agency to deliver the Initial Preview. They do not represent the final delivery date of post-revision files, which shall be delivered within a reasonable window following completion of any revision round(s).

8.4 Watermarked Preview

The Initial Preview of all Deliverables shall be watermarked. Full-resolution, unwatermarked files shall be released only upon receipt of full payment (see Section 3).

9. Revisions & Post-Production

9.1 Included Revisions

Unless otherwise specified in the Client's quote, contract, or package description, engagements include one (1) complimentary Revision Round per deliverable set. The number of included revision rounds, if any, will be stated on the Client's quote or contract. Carscenez will implement all reasonable changes specified in the confirmed Revision Round communication.

9.2 Revision Round Commencement

The Client may submit revision notes across multiple messages or communications. A Revision Round does not formally commence until the Client confirms in writing (email or message) that all desired changes have been communicated and the Revision Round may begin. Carscenez shall not begin revision work until such confirmation is received. Once the confirmed Revision Round is completed, any further changes shall constitute additional revision work.

9.3 Additional Revisions

Any revisions beyond the included Revision Round(s) shall be billed at a rate of $100.00 per hour, with a one (1) hour minimum per additional Revision Round. Carscenez shall provide the Client with a time estimate prior to commencing additional revision work and shall not proceed without the Client's written approval.

9.4 Revision Scope

Revisions are limited to changes within the originally agreed-upon scope: edit pacing adjustments, color grading tweaks, music selection changes, shot sequence reordering, text/title changes, and minor audio mixing adjustments.

The following are outside the scope of any revision and will be quoted as new work: re-shooting footage, adding shots not captured during the shoot, complete re-edit from scratch, changing fundamental creative direction after approval, or multiple music overhauls.


10. Rush Fees

Expedited turnaround is available upon request and subject to availability. Rush fees are calculated as a percentage surcharge on the applicable production and/or editing costs for the engagement:

Rush fees are billed in addition to the standard engagement fees. Availability is not guaranteed, and Carscenez reserves the right to decline rush requests based on current workload and scheduling constraints.

11. Raw Footage

Raw (unedited, ungraded) footage is available as an add-on at a flat fee of $250.00 per engagement. Raw footage is delivered via shared digital link and is provided as-is, without editing, color correction, or audio treatment. Carscenez makes no warranties regarding the usability of raw footage for the Client's independent editing purposes.

Carscenez retains all raw footage from shoots for a minimum of one (1) year. Raw footage requests may be fulfilled at any time during this retention period.


12. Intellectual Property & Licensing

12.1 Ownership

Carscenez retains full ownership of all intellectual property rights, including copyright, in all Deliverables and raw footage produced under this agreement. Copyright is not transferred to the Client or any third party unless expressly agreed in writing and paid for under a separate licensing agreement.

12.2 Client License

Upon receipt of full payment, the Client is granted a perpetual, non-exclusive, worldwide license to use, reproduce, distribute, and publicly display the final edited Deliverables for the Client's business purposes, including marketing, advertising, social media, and promotional use. This license does not include the right to sublicense, resell, or distribute the Deliverables as standalone content to third parties.

12.3 Third Parties

No third party (including but not limited to venues, property managers, landlords, sponsors, or affiliates) has any rights to the media unless explicitly licensed by Carscenez under a separate written agreement. Carscenez is not obligated to provide raw or finished media to any entity other than the contracted Client. Any third-party use must be negotiated and may require additional licensing fees.

12.4 Portfolio & Promotion

Carscenez retains the right to use any produced material for its own portfolio, marketing, and promotional purposes (website, social media, award submissions, marketing materials) unless a separate confidentiality or exclusivity agreement is executed and paid for.

12.5 Exclusivity and Full Buyout

If the Client requires exclusive ownership or full copyright transfer, this must be requested before booking. Full buyout of rights will incur a substantial additional fee and must be documented in a separate written agreement signed by both parties.

12.6 Confidentiality

If the Client requires confidentiality (for example, unreleased vehicles, private events, or embargoed projects), Carscenez is willing to execute a mutual confidentiality agreement. Unless a confidentiality agreement is signed before the shoot, Carscenez may use produced material for portfolio and promotional purposes as described above.

12.7 Third-Party Content

Any licensed music, stock footage, or third-party assets used in Deliverables shall be subject to the terms of their respective licenses. Carscenez shall ensure all third-party content is properly licensed for the Client's intended use as described in Section 12.2. The Client shall not extract, isolate, or separately use any third-party licensed content from the Deliverables.

13. Liability, Insurance & Indemnification

13.1 Limitation of Liability

To the maximum extent permitted by applicable law, Carscenez's total liability shall not exceed the total fees actually paid by the Client for the specific engagement giving rise to the claim. In no event shall Carscenez be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, lost revenue, or business interruption, regardless of the cause of action or the theory of liability.

Carscenez shall not be held liable for footage or photographs lost due to equipment malfunction, theft, or damage beyond Carscenez's reasonable control, provided Carscenez has exercised commercially reasonable care in maintaining and safeguarding its equipment and data.

13.2 Equipment Damage

The Client is responsible for repair or replacement costs if damage to Carscenez equipment results from Client negligence or misuse. Carscenez is responsible for its own equipment under normal operating conditions.

13.3 Insurance

Carscenez carries liability insurance for its operations and crew. Clients must ensure their vehicles are appropriately insured for any driving, rolling, or on-road activity during the shoot. If a location or shoot requires additional insured status, the Client must notify Carscenez at booking.

13.4 Indemnification

Each party shall indemnify, defend, and hold harmless the other party and its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to (a) the indemnifying party's breach of these Terms, (b) the indemnifying party's negligence or willful misconduct, or (c) any third-party claim arising from the indemnifying party's actions or omissions in connection with the services.

The Client additionally agrees to indemnify Carscenez against any claims arising from the Client's use of the Deliverables in a manner not authorized by these Terms or any applicable agreement, or in violation of applicable law.


14. Late Payment & Collections

14.1 Late Payment Fee

Invoices not paid within seven (7) calendar days of their respective due dates shall accrue a late fee of one and one-half percent (1.5%) per month on the outstanding balance. Continued nonpayment may result in referral to collections, and the Client shall be responsible for all reasonable recovery costs incurred.

14.2 Invoice Disputes

Any disputes to charges must be raised in writing within seven (7) calendar days of the invoice date. Disputed amounts will be reviewed, but undisputed amounts remain due. Disputing a charge does not relieve the Client from paying outstanding undisputed amounts on time.

15. Dispute Resolution

15.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict of law principles.

15.2 Resolution Process

In the event of any dispute arising out of or relating to these Terms, the parties shall first attempt to resolve the matter through good-faith negotiation for a period of thirty (30) days. If the dispute is not resolved through negotiation, either party may initiate binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall take place in Maricopa County, Arizona. The arbitrator's decision shall be final and binding, and judgment may be entered upon it in any court of competent jurisdiction.

15.3 Attorneys' Fees

In any legal action or arbitration proceeding arising from these Terms, the prevailing party shall be entitled to recover its reasonable attorneys' fees and costs from the non-prevailing party.


16. General Provisions

16.1 Amendments

These Terms may be updated by Carscenez from time to time. The version in effect at the time of booking shall apply to that engagement. If the Client requires changes to these standard Terms for a specific engagement (for example, different deposit arrangements, exclusivity, or unique licensing), those changes must be agreed in writing before booking.

16.2 How Charges Are Applied

Charges for cancellations, idle time, or other services will be itemized on the Client's invoice and will reference the relevant section(s) of these Terms. Carscenez retains booking records and acceptance of these Terms for every engagement.

16.3 Entire Agreement

For engagements governed by a separately executed Production Services Agreement, that agreement together with these Terms constitutes the entire agreement between the parties. In the event of any conflict between a signed Production Services Agreement and these Terms, the Production Services Agreement shall prevail.

16.4 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

17. SMS Messaging Program

17.1 Program Description

Carscenez operates a text messaging program to send transactional notifications to clients. Messages include appointment confirmations, project status updates, invoice and payment notifications, and media delivery notifications related to your engagement with Carscenez.

17.2 Consent

By providing your phone number when contacting Carscenez to book services, or by texting our business number, you consent to receive text messages from Carscenez related to your engagement. Consent to receive SMS messages is not required as a condition of purchasing any goods or services.

17.3 Message Frequency

Message frequency varies based on project activity. You may receive messages related to appointment scheduling, project milestones, invoice delivery, and file availability.

17.4 Message and Data Rates

Message and data rates may apply. Contact your wireless carrier for details about your messaging plan.

17.5 Opt-Out

You may opt out of receiving text messages at any time by replying STOP to any message from Carscenez. After opting out, you will receive a single confirmation message and no further texts will be sent.

17.7 Privacy
